Jobee透過網站提供的服務以及使用者對網站和服務的使用均受下文所載條款及

條件(「條款及條件」)以及透過此連結提供的私隱政策規限。

請仔細閱讀條款及條件和私隱政策。藉進入網站、上載、瀏覽網站資訊或從網站取得資訊,或者使用服務,即作為使用者的閣下確認已閱讀、明白並同意受條款及條件和私隱政策所載條文約束。如果閣下不同意條款及條件或私隱政策,請勿進入網站、瀏覽網站資訊、上載或從網站取得資訊或使用任何服務。

1. 定義

1.1
除非文意另有所指,下列詞語須具有下文所述的相應涵義:
(a)
廣告客戶」指在網站上刊登招聘廣告、上載招聘資訊或推廣任何就業相關活動的使用者。廣告客戶包括僱主廣告客戶及代理廣告客戶。
(b)
代理廣告客戶」指作為第三方僱主的代理,向該第三方僱主介紹或推薦求職者的廣告客戶(不論該代理廣告客戶是否因服務而獲得薪酬)。
(c)
僱主廣告客戶」指有意透過使用網站招聘,以及作為僱主與作為僱員的求職者訂立僱傭合約的廣告客戶;
(d)
香港」指中華人民共和國香港特別行政區。
(e)
港元」指香港法定貨幣。
(f)
知識產權」指網站所有內容,包括但不限於任何資料、數據、文字、圖表、圖像、版面編排、設計、圖畫、商標、標識、HTML及其他專有資料(屬Jobee擁有、獲特許或在徵求擁有人允許後使用的知識產權)。
(g)
知識產權權利」指關於知識產權的一切權利、所有權及權益。
(h)
Jobee」指蜂職有限公司,即網站的提供者以及職業介紹所牌照號碼48874的持有人(根據《僱傭條例》第5(1)條)。
(i)
職位申請系統」指網站上由Jobee開發及運作的系統或功能,方便求職者提出求職申請並為求職目的與廣告客戶溝通,以及方便廣告客戶接收求職者的申請並為招聘目的與求職者溝通。
(j)
求職者」指打算透過使用網站求職的使用者。
(k)
會員」指任何申請註冊成為網站會員並獲得Jobee批准的使用者。會員包括廣告客戶及求職者。
(l)
《僱傭條例》」指香港法例第57章《僱傭條例》。
(m)
私隱政策」指管限透過網站收集及使用個人資料的私隱政策(其條文載於此連結 )。Jobee有權不時刪除或修訂私隱政策的條文,而毋須提前發出通知。
(n)
服務」指Jobee為招聘/求職目的在網站向使用者提供的服務,包括但不限於(i)開發、運作和維護網站,而網站乃作為一個供使用者使用的電子平台,提供及交換與招聘/求職有關的資訊;(ii)提供及維護網站上的各項功能(例如廣告、職位空缺搜尋、人才搜尋、瀏覽數據庫以及求職者與廣告客戶之間的電子通訊媒介);(iii)建立和維護會員的會員賬戶、網頁及數據庫;(iv)存儲使用者在Jobee數據庫系統提供的資料;及(v)向使用者提供和傳閱招聘/求職相關資訊,以及不時推廣就業機會。Jobee有權不時更改服務的範圍及內容,而毋須提前發出通知。
(o)
服務費」指在條款及條件以及服務費與支付政策所載條文的規限下,作為Jobee提供服務的代價,廣告客戶應向Jobee支付的費用。
(p)
服務費與支付政策」指載有Jobee在廣告客戶成功註冊為會員後,向廣告客戶訂定與服務費的支付和計算有關的條款及條件之政策聲明,Jobee會不時對該政策聲明作出任何修訂;如作出修訂,Jobee將及時向廣告客戶發出通知。
(q)
網站」指Jobee及/或其附屬成員為向使用者提供服務而開發、擁有及/或運作的網站www.jobee.works、招聘入門網站、數據庫或電郵/通訊系統。
(r)
第三方僱主」指有意透過代理廣告客戶介紹求職者而僱用求職者的任何一方。
(s)
使用者」指服務和網站的任何使用者(不論該使用者有否註冊成為網站會員),包括廣告客戶及求職者。
1.2
本條款及條件所載的詞語「閣下」和「使用者」指在任何時間為任何原因或目的而使用網站的所有人士及/或實體。
1.3
凡提述一天內的時間,均指香港時間。
1.4
在條款及條件中明確提述的任何文件(包括但不限於私隱政策以及服務費與支付政策)均構成本條款及條件的一部分。

2. 使用網站及服務

2.1
廣告客戶
(a)
廣告客戶只可將網站及服務用作與招聘有關的合法目的。
(b)
在成功註冊為會員後,廣告客戶可為招聘目的使用網站,以(i)建立自身的網頁,上載招聘資訊、刊登職位空缺廣告以及推廣與就業有關的活動(「廣告客戶頁面」);(ii)瀏覽數據庫並物色適合的求職者人選;(iii)在獲得相關求職者的允許後查閱求職者頁面;及(iv)透過職位申請系統與求職者聯絡及溝通,但前提是須遵守條款及條件、Jobee不時訂立的限制及/或規定。
(c)
廣告客戶提供的任何資訊將先經Jobee審核,方可正式發佈。Jobee可拒絕公佈廣告客戶頁面或該頁面上的任何廣告或內容,或在Jobee認為適當的情況下要求廣告客戶不時刪除或修訂廣告客戶頁面上的任何廣告或內容。廣告客戶須就其廣告或廣告客戶頁面所載的資料單獨負上責任,Jobee批准在網站上公佈任何內容,或未有要求刪除或修訂網站上的任何資訊,均不得視之為Jobee認可廣告客戶提供的任何該等資訊。在Jobee的要求下,廣告客戶須立即刪除或修訂網站上的相關資訊。
(d)
廣告客戶只可使用職位申請系統與求職者聯絡、溝通以及接收求職者的職位申請,但不得將網站用於提供廣告客戶的任何聯絡資料,例如廣告客戶的電郵地址、辦事處地址、電話號碼或其本身的招聘網站。廣告客戶同意就招聘任何求職者的進展通知Jobee,使Jobee掌握最新消息,並應Jobee要求從速回覆Jobee就招聘事宜作出的查詢。
(e)
廣告客戶同意,從網站取得的所有資料(包括但不限於個人資料(定義見下文))僅用作招聘目的。廣告客戶處理所有該等資料時須嚴格遵守條款及條件和私隱政策,且除非獲得相關求職者的事先書面同意,否則不得向任何第三方披露(按私隱政策披露及轉讓個人資料的規定披露者則除外)。廣告客戶確認及同意,廣告客戶毋須理會求職者提供而與招聘目的無關的任何資料(不論來自求職者頁面抑或別處)。
2.2
求職者
(a)
求職者只可將網站和服務用作合法及求職目的。
(b)
在成功註冊為會員後,求職者可使用網站,以(i)建立他/她自身個人簡介頁面並上載個人資料,例如個人詳情、學歷、工作經驗、資歷及其他相關資料(統稱「個人資料」)(「求職者頁面」);(ii)搜尋職位空缺,取得就業相關資訊,以及瀏覽廣告客戶頁面;及(iii)透過職位申請系統向廣告客戶提交求職申請並與廣告客戶溝通,惟須遵守條款及條件、Jobee不時訂立的限制及/或規定。
(c)
求職者提供的任何資料將先經Jobee審核,方可正式發佈。Jobee可拒絕公佈求職者的頁面或該頁面上的任何內容,或在Jobee認為適當的情況下要求不時刪除或修訂該頁面上的任何內容。求職者須就求職者頁面所載的資料單獨負上責任,Jobee批准在網站上公佈任何內容,或未有求刪除或修訂網站上的任何資料,均不得視之為Jobee認可求職者提供的任何該等資料。在Jobee的要求下,求職者須立即刪除或修訂網站上的相關資訊。
(d)
求職者在註冊為會員後,須將其會員登入名稱及密碼保密,以防向任何第三方洩露機密及個人資料。Jobee概不對求職者自身疏忽、作為或不作為導致的任何資料洩露負責。
(e)
求職者只可使用職位申請系統與廣告客戶溝通以及向廣告客戶提交求職申請,但不得透過廣告客戶在網站或以其他方式提供的任何其他途徑(例如廣告客戶的電郵地址、辦事處地址、電話號碼或其本身的招聘網站)與廣告客戶溝通以及向廣告客戶提交求職申請。
(f)
求職者確定及確認,其自願利用網站和服務向Jobee及/或廣告客戶提供個人資料,此外:
(i)
確認其在網站上載個人資料,須自行承擔風險;
(ii)
授權Jobee在Jobee的數據庫系統(「數據庫」)存儲其個人資料,直至及除非該等個人資料被求職者刪除或停用為止,該等個人資料將存儲於數據庫內,仍可供Jobee及/或廣告客戶查閱;
(iii)
同意Jobee可將個人資料(但不包括其姓名、聯絡資料、地址、出生日期及可識別個人身份的其他資料)用作市場營銷目的(可轉至網站上的任何使用者);及
(iv)
同意Jobee毋須對使用者以任何方式查閱、轉移或使用個人資料而引起或與之相關的任何損失或損害負責,但須遵守Jobee下列的私隱政策。
2.3
違禁用途

網站的所有使用者(不論其有否註冊為會員)在使用網站時均嚴禁進行下列行為:

(a)
在網站上載任何含有不完整的、虛假的、不準確的、具誤導性、具欺詐性、涉及詆毀、涉及誹謗、涉及淫褻、涉及歧視、涉及騷擾、涉及威脅、涉及辱駡、涉及仇恨、涉及種族主義、非法的、不當的、具攻擊性的成分,或者具其他性質且與招聘/求職目的無關的資訊(包括但不限於招攬捐贈或業務、發佈無關的廣告、貿然發送電子郵件或進行直接或間接市場營銷);
(b)
侵犯Jobee、其他使用者或任何第三方的知識產權權利或專有權利,或侵犯他人的私隱權、肖像權或其他個人權利;
(c)
在未獲得資料擁有人、賬戶擁有人或系統擁有人的允許的情況下使用相關資料或網站功能;
(d)
因病毒、損毀的文檔或其他材料而導致網站的運作中斷、受損害或受限制,或破壞網站的安全性,或者導致提供予任何使用者的服務受擾亂或受干擾;
(e)
違反條款及條件、違反私隱政策,或者違反香港或其他相關司法管轄區的任何適用法律及法規,

且在不損害下文第2.4條的情況下,如果任何資訊被視為已違反第2.3條

規定的任何限制,則Jobee可在無需發出通知的情況下禁止發佈、或者刪除或修訂該使用者提供的任何資訊。

2.4
限制、中止和終止使用
(a)
如果出現以下情況,Jobee有權在不發出事先通知的情況下,局部限制、暫時中止或永久終止使用者瀏覽網站及使用服務的權利:
(i)
使用者嚴重違反條款及條件、私隱政策或Jobee不時訂立的任何限制的任何條文,倘該違規情況可予以補救,而該違規使用者未有在收到Jobee警告函後三(3)天內對其違規情況進行補救;
(ii)
針對使用者的清盤呈請(如果該使用者屬法人實體)或破產呈請(如果該使用者屬個人)已被提交;
(iii)
Jobee經其全權酌情決定認為限制、中止或終止措施為必要和合理;或
(iv)
出現以下第13條所描述的情況之時, 惟以上措施不得影響Jobee可獲得的任何其他權利和補救,亦不得影響該使用者於條款及條件以及香港或其他司法管轄區的法律(如適用)下對Jobee負有的任何義務。
(b)
為免生疑問,當出現根據上文第2.4(a)條終止使用者瀏覽網站及使用服務的權利的情況,Jobee亦可在不發出通知的情況下(i)永久終止使用者的會籍;(ii)刪除或停用該使用者在網站上載或發佈的任何資訊;(iii)要求立即支付服務費及/或該使用者招致及拖欠Jobee的任何其他費用或成本,連同欠款的任何利息;及(iv)就終止該使用者的會籍在網站上作出公告。

3. 服務費

3.1
成功在網站上註冊為會員的求職者可免費使用網站及服務。作為Jobee提供服務的代價,在使用網站時,求職者同意受條款及條件以及Jobee不時訂立的所有其他限制約束。
3.2
作為Jobee提供服務的代價,廣告客戶須根據服務費與支付政策所載的條款向Jobee支付服務費。
3.3
廣告客戶及已受僱求職者(定義見下文)須在已受僱求職者僱傭合約(定義見下文)的首個工作日(定義見下文)完結後,立即(以書面形式)報告或通知Jobee(「報告」),不得延誤。在收到報告後,Jobee將根據服務費與支付政策所載的條款向廣告客戶開具發票。
3.4
如果廣告客戶因任何原因(包括但不限於規避支付服務費予Jobee)而未能向Jobee報告,或提供關於僱傭合約的任何不準確資料,Jobee有權在不損害上文第2.4條所規定之權利的情況下,要求該廣告客戶立即支付50,000港元,作為每次未就僱傭合約作出報告的補償。

4. 祝賀禮品(=聘用獎金)

如果已受僱求職者完成其與僱主廣告客戶或第三方僱主之僱傭合約的首30天(自首個工作日起計(包括首個工作日)),或者,如果僱傭合約期限短於30天,已受僱求職者完成協定的僱傭合約期限(「期限完成」),該已受僱求職者有權獲得Jobee以現金形式(根據Jobee的政策,金額有所不同)提供的一份祝賀禮品(「禮品」),惟該已受僱求職者須在首個工作日起計十四(14)天(包括首個工作日)內向Jobee作出報告,且Jobee已與僱主廣告客戶或第三方就期限完成進行確認(「確認」)。Jobee將自作出確認之日起兩(2)個月內透過以已受僱求職者為受益人的電子支票送上禮品。未在規定期限內作出報告的已受僱求職者將被視為已放棄其獲得禮品的權利,即使其已完成相關期限亦然,在此情況下,Jobee概不負責向該已受僱求職者就其損失作出補償。

5. 知識產權權利

5.1
作為Jobee提供服務的代價,在網站上載資訊的使用者同意免費向Jobee及/或其附屬成員授予使用、修訂、刪除、發佈、分發、許可或再許可、銷售和存儲該等資訊(包括該等資訊所含的所有知識產權)的權利,以用於向使用者提供服務以及開展與之有關的其他業務活動。
5.2
Jobee(作為知識產權的擁有人或獲特許人)擁有與該等知識產權有關的所有權利,而於網站取得資訊的任何一方在未獲得Jobee事先書面同意的情況下,不得以任何方式使用、修訂、刪除、發佈、分發、許可或再許可、銷售或存儲任何該等資訊。

6. 保證及免責聲明

6.1
使用者完全明白Jobee乃作為服務提供商,是各個使用者之間溝通媒介,並確認及同意:
(a)
自行承擔風險使用網站及服務(或在網站上提供的其他網站),並完全及絕對地為自身的活動負責,以及為因此引起的任何損失、損害及/或法律責任負責;
(b)
單獨及完全為在網站上載的任何資訊的準確性、真實性及合法性負責,並進一步向Jobee承諾及陳述,在網站上提供或將提供的所有資訊須符合條款及條件以及香港或其他相關司法管轄區的法律;
(c)
網站上的所有資訊僅供參考,Jobee毋須因該等資訊不準確、虛假、無效、非法、不適當、不完整、不合時宜或不可靠所引起的任何損失或損害負責;
(d)
求職者提交求職申請、廣告客戶作出聘用,以及廣告客戶/第三方僱主與求職者透過網站訂立僱傭合約,均屬廣告客戶/第三方僱主與求職者之間的獨立活動。Jobee並非任何該等關係的其中一方,亦不得被視為已認可或推薦任何該等申請或聘用,或已提供任何就業機會或因該等活動而與任何該方訂立任何合約。Jobee不受該合約的任何條款及條件約束,亦不對任何一方因該等活動蒙受的任何損失或損害負責;
(e)
對於使用者或任何第三方因使用服務、依賴網站上的任何資訊或因任何原因未有向使用者提供服務而引起或與之相關及所蒙受的任何損失或損害,Jobee概不負責。
6.2
此外,在不損害Jobee可獲得的其他權利及補救的情況下,使用者承諾在香港或其他相關司法管轄區的法律允許的最大範圍內,對Jobee及其附屬成員、股東、董事、高級人員、僱員、代理、代表、受權人、顧問及繼承人因或就其使用網站及服務引起的所有申索、訴訟、要求、法律責任、損失、損害、訟費及開支作出彌償,並使上述各方免受損害。
6.3
Jobee不保證(i)使用者在網站上載或建立的任何資訊、廣告或頁面的瀏覽次數;(ii)將會瀏覽該等資訊、廣告或頁面的使用者類別;及(iii)因此產生的任何效果或結果。
6.4
Jobee將盡其合理努力確保(但不保證)(i)在不存在錯誤及病毒的情況下運作網站;(ii)網站運作不受中斷、及時且安全;或(iii)任何缺陷或問題將獲及時更正。

7. 法律責任的限制

在不抵觸適用法律規定的情況下,使用者同意,對於使用網站及服務而引起的或與之相關的所有申索,Jobee承擔的總法律責任(如有)僅限於Jobee就提供服務而向該使用者實際收取的費用總額。

8. 私隱

8.1
管限透過網站收集及使用個人資料的條文載於私隱政策 ,而私隱政策被納入條款及條件,並構成條款及條件的一部分。在使用網站及服務時,所有使用者同意受私隱政策的條文約束,並遵守私隱政策的條文。
8.2
在運作及使用網站及/或服務時收到任何個人資料的任何人士(包括但不限於廣告客戶、Jobee的附屬成員及業務合作夥伴)確認及同意,其須按照適用於Jobee的相同標準,嚴格遵守條款及條件和私隱政策下與私隱保障和個人資料保障有關的相關條文。該等人士亦承諾促致其下或與之相關的任何人士(包括但不限於其附屬成員、董事、高級人員、僱員、代表或代理)在收到任何個人資料時,以最高的保密及安全標準處理該等個人資料,不得為該私隱政策所載者以外之目的使用該等個人資料。

9. Jobee與使用者的關係

Jobee不得以任何方式被視為任何使用者的代理、合資企業、合夥人或僱主。除非Jobee另行書面同意,否則任何使用者均不得作出可確立與Jobee或任何一方之間的任何代理、合資企業、合夥或僱傭關係的陳述。Jobee不受該使用者向任何其他方作出的任何協議、保證或陳述約束,亦不對任何一方就此蒙受的任何損失或損害負責。

10. 條款更改

Jobee有權全權酌情決定不時修訂或刪除條款及條件的任何條文,而毋須提前發出通知。通知則將按照Jobee認為適當的方式向所有使用者發出。在發出通知後,使用者對網站的任何持續使用將被視為同意及接受對條款及條件作出的所有變更,使用者須受條款及條件的經修訂條文約束。

11. 完整協議

條款及條件及其中提述的所有文件(包括但不限於私隱政策 及服務費與支付政策)均構成各方達成的完整協議及諒解,並取代各方先前就條款及條件的標目事項作出的口頭或書面協議、承諾、通訊或討論。

12. 可分割性

如果條款及條件的任何條文在任何適用法律下被認定為非法、無效或不可強制執行,餘下條文的合法性、有效性及可強制執行性概不因此在任何方面受到影響或損害。

13. 不可抗力

對於Jobee合理控制範圍以外的任何原因(包括但不限於電腦、電訊或其他設備故障、罷工、勞資糾紛、暴動、火災、爆炸、怠工、叛亂、天災、政府或民事或軍事當局的行動、戰爭、法庭命令及任何第三方的不履行或延遲履行)導致的不履行或延遲履行,Jobee概不負責。如果不可抗力持續超過六(6)個月,Jobee有權行使上文第2.4條規定的終止權利。

14. 雜項條款

14.1
Jobee不行使或強制執行條款及條件的任何權利或條文,將不會構成對該權利的放棄。
14.2
如果條款及條件擁有多種語言版本,且如果在履行過程中,不同語言版本之間存在任何爭議或差異,概以英文版為準(其他版本僅供參考)。

15. 管限法律及司法管轄區

條款及條件須受香港法律管限並據此詮釋,各方同意在審訊及/或調解因此產生或相關的所有爭議時接受香港法院的非專屬司法管轄權管轄。


Jobee Terms and Conditions (English)

The provision of the Services by Jobee through the Site and the use of the Site and Services by the Users shall be governed by the terms and conditions set out below (the “Terms and Conditions”) and the Privacy Policy which is provided via this link.

Please read the Terms and Conditions and the Privacy Policy carefully. By accessing to the Site, uploading, viewing or obtaining information therefrom, or by using the Services, you as a User acknowledge that you have read, understood and agreed to be bound by the provisions contained in the Terms and Conditions and the Privacy Policy. If you do not agree to the Terms and Conditions or the Privacy Policy, please do not access, view, upload or obtain any information from the Site or use any of the Services.

1. Definitions

1.1
The following terms shall have the respective meanings specified below unless the context otherwise requires:-
(a)
"Advertiser" means a User who places a job advertisement, uploads recruitment information or promotes any employment related activities on the Site. An Advertiser includes an Employing Advertiser and an Agent Advertiser.
(b)
"Agent Advertiser" means an Advertiser who acts as an agent for a Third Party Employer in introducing or referring Job Seekers to such Third Party Employer, whether or not the Agent Advertiser is being paid for the services.
(c)
"Employing Advertiser" means an Advertiser who intends to recruit and enter into an employment as employer with a Job Seeker as employee by using the Site;
(d)
"Hong Kong" means the Hong Kong Special Administrative Region of the People's Republic of China.
(e)
"HKD" means the lawful currency of Hong Kong.
(f)
"Intellectual Properties" means all contents of the Site, including without limitation any information, data, text, graphics, images, layouts, designs, pictures, trademarks, logos, HTML and other proprietary information, which are intellectual properties owned by, licensed to or used by Jobee with permission from its owners.
(g)
"Intellectual Property Rights" means all rights, title and interest in and to the Intellectual Properties.
(h)
"Jobee" means Jobeeworks Limited, the provider of the Site and the holder of the Employment Agency Licence No. 48874 pursuant to Section 5(1) of the Employment Ordinance.
(i)
"Job Application System" means a system or function on the Site which is developed and operated by Jobee for Job Seekers to make job applications and communicate with Advertisers for job seeking purposes, and for Advertisers to receive applications from and communicate with Job Seekers for recruitment purposes.
(j)
"Job Seeker" means a User who intends to seek employment by using the Site.
(k)
"Member(s)" means any User whose application for and registration of membership of the Site is approved by Jobee. A Member includes both an Advertiser and a Job Seeker.
(l)
"Employment Ordinance" means the Employment Ordinance, Cap. 57 of the laws of Hong Kong.
(m)
"Privacy Policy" means the privacy policy which governs the collection and use of personal data through the Site, provisions of which are set out in this link. Jobee shall have the right to delete or revise the provisions of the Privacy Policy from time to time without prior notice.
(n)
"Services" means the services provided by Jobee to the Users on the Site for recruitment/job seeking purposes, including without limitation (i) development, operation and maintenance of the Site as an electronic platform for use by Users in providing and exchanging recruitment/job seeking related information; (ii) provision and maintenance of various functions on the Site such as advertisements, job vacancy searches, talent searches, access to databases and electronic communication media between Job Seekers and Advertisers; (iii) creation and maintenance of membership accounts for Members, web pages and databases; (iv) storage of information provided by the Users in Jobee’s database system; and (v) provision and circulation of recruitment/job seeking related information to Users and promotion of employment opportunities from time to time. Jobee shall have the right to alter the scope and contents of the Services from time to time without prior notice.
(o)
"Service Fee" means the fee payable by Advertiser to Jobee in consideration of the Services provided by Jobee, subject to the provisions stipulated in the Terms and Conditions and the Service Fee and Payment Policy.
(p)
"Service Fee and Payment Policy" means the policy statement containing terms and conditions relating to the payment and calculation of the Service Fee which is to be provided by Jobee to Advertiser upon successful membership registration by Advertiser, subject to any amendment thereof by Jobee from time to time; in such case notice will be given to Advertiser in a timely manner.
(q)
"Site" means the website www.jobee.works, job portal, databases or e-mail/newsletter system developed, owned and/or operated by Jobee and/or its affiliate(s) for the purpose of providing the Services to the Users.
(r)
"Third Party Employer" means any party intending to employ a Job Seeker through introduction of Job Seekers from the Agent Advertiser.
(s)
"User" means any user of the Services and the Site including both Advertisers and Job Seekers, whether or not such User is registered as a Member of the Site.
1.2
The terms “you”, “user” and “users” contained herein refer to all individuals and/or entities using the Site at any time for any reason or purpose.
1.3
Any reference made to times of the day are to Hong Kong time.
1.4
Any document expressly referred to in the Terms and Conditions, including without limitation the Privacy Policy and the Service Fee and Payment Policy, shall form part hereof.

2. Use of the Site and the Services

2.1
Advertisers
(a)
The Advertiser shall only use the Site and the Services for lawful and purposes relating to recruitment.
(b)
Upon successful registration as a Member, an Advertiser may, for recruitment purposes, use the Site to (i) create its own web page to upload recruitment information, advertise job vacancies and promote employment related activities (the “Advertiser’s Page”); (ii) access the Database and search for suitable Job Seeker candidates; (iii) view the Job Seeker’s Page(s) upon receiving permission from the relevant Job Seeker(s); and (iv) contact and communicate with Job Seekers through the Job Application System, subject however to the Terms and Conditions, restrictions and/or requirements imposed by Jobee from time to time.
(c)
Any information provided by the Advertiser will be examined by Jobee before formal publication is allowed. Jobee may refuse to publicize the Advertiser’s Page or any advertisement or contents thereon, or require the Advertiser to remove or amend any advertisement or contents on the Advertiser’s Page from time to time as Jobee deems appropriate. The Advertiser shall be solely responsible for the information contained in its advertisement or the Advertiser’s Page, and no approval for publication of any contents on the Site, or omission to require the removal or amendment of any information thereon shall be deemed to be an endorsement by Jobee of any of such information provided by the Advertiser. Upon request by Jobee, the Advertiser shall forthwith remove or amend the relevant information on the Site.
(d)
The Advertiser shall only use the Job Application System to contact, communicate with and receive job applications from Job Seekers, but shall not use the Site for the purpose of providing any contact information of the Advertiser such as the Advertiser’s e-mail address, office address, telephone number or its own recruitment website. The Advertiser agrees to inform and keep Jobee updated on the recruitment progress with any Job Seeker and to answer enquries from Jobee in relation thereto promptly upon request.
(e)
The Advertiser agrees that all information, including without limitation the Personal Information (defined below) obtained from the Site shall be used for recruitment purposes only. All such information shall be handled by the Advertiser in strict compliance with the Terms and Conditions and the Privacy Policy and shall not be disclosed to any third parties (except as provided under Disclosure or Transfer of Data in the Privacy Policy) unless a prior written consent is obtained from the relevant Job Seeker. The Advertiser acknowledges and agrees that it shall disregard any information from Job Seeker (either from the Job Seeker’s Page or otherwise) which is irrelevant to recruitment purposes.
2.2
Job Seeker
(a)
Job Seeker shall only use the Site and the Services for lawful and job seeking purposes.
(b)
Upon successful registration as a Member, a Job Seeker may use the Site to (i) create his/her own profile page to upload personal information such as personal particulars, education background, work experience, qualifications and other relevant information (collectively, the “Personal Information”) (the “Job Seeker’s Page”); (ii) search for job vacancies, obtain employment related information and access the Advertiser’s Page(s); and (iii) submit job applications to and communicate with Advertisers through the Job Application System, subject however to the Terms and Conditions, restrictions and/or requirements imposed thereon by Jobee from time to time.
(c)
Any information provided by the Job Seeker will be examined by Jobee before formal publication is allowed. Jobee may refuse to publicize the Job Seeker’s Page or any contents thereon, or require the removal or amendment of any contents thereon from time to time as Jobee deems appropriate. The Job Seeker shall be solely responsible for the information contained on the Job Seeker’s Page and no approval for publication of any contents, or omission to require the removal or amendment of any information thereon shall be deemed to be an endorsement by Jobee of any of such information provided by the Job Seeker. Upon request by Jobee, the Job Seeker shall forthwith remove or amend the relevant information on the Site.
(d)
The Job Seeker shall, upon registration as a Member, keep his/her Member’s login-ID and password confidential in order to prevent any leakage of confidential and personal information to any third party, and Jobee shall not be liable for any leakage thereof caused by the Job Seeker’s own inattention, acts or omissions.
(e)
The Job Seeker shall only use the Job Application System to communicate with or submit job applications to Advertisers but not through any other method provided by Advertisers on the Site or otherwise, such as the Advertiser’s e-mail address, office address, telephone number or the Advertiser’s own recruitment website.
(f)
The Job Seeker confirms and acknowledges that he/she provides the Personal Information to Jobee and/or Advertisers of his/her own volition by using the Site and the Service, and further: (v) acknowledges that he/she uploads his/her Personal Information on the Site at his/her own risk;
(i)
acknowledges that he/she uploads his/her Personal Information on the Site at his/her own risk;
(ii)
authorizes Jobee to store his/her Personal Information in the database system of Jobee (the “Database”), and until and unless such Personal Information is deleted or de-activated by the Job Seeker, the same will be stored in the Database and remains active for view by Jobee and/or Advertisers;
(iii)
agrees that Jobee may use the Personal Information (however without his/her name, contact information, address, date of birth and other personally identifiable information) for marketing purposes which may be directed to any Users on the Site; and
(iv)
agrees, subject however to Jobee’s following of the Privacy Policy, that Jobee shall not be responsible for any loss or damage arising out of or in relation to the view, transfer or use of the Personal Information in whatever manner by the Users.
2.3
Prohibited Use

All Users of the Site, whether or not registered as a Member, shall be prohibited from using the Site in any manner which:

(a)
contains or involves information which is incomplete, false, inaccurate, misleading, fraudulent, defamatory, libelous, obscene, discriminatory, harassing, threatening, abusive, hateful, racist, illegal, improper, offensive, or otherwise unrelated to recruitment/job seeking purposes (including without limitation by soliciting donations or businesses, launching irrelevant advertisements, sending unsolicited e-mails or conducting direct or indirect marketing);
(b)
infringes the Intellectual Property Rights or proprietary rights of Jobee, other Users or any third parties, or violates the privacy, publicity or other personal rights of others;
(c)
does not have the permission from the owner of the information, the account or the system;
(d)
causes viruses, corrupted files or other materials to interrupt, damage or limit the operation, or violate the security of the Site, or tamper or interfere with the Services to any User;
(e)
violates the Terms and Conditions, the Privacy Policy or any applicable laws and regulations of Hong Kong or other relevant jurisdictions, and without prejudice to Clause 2.4 below, Jobee may, without notice, disable the publication of, or remove or amend any information provided by such User, if the information is considered to be in violation of any of the restrictions stipulated under this Clause 2.3.
2.4
Restriction, Suspension and Termination of Use
(a)
Jobee shall have the right to partially restrict, temporarily suspend or permanently terminate the User’s right of access to the Site and to use the Services without prior notice, if:
(i)
the User is in material breach of any provisions of the Terms and Conditions, the Privacy Policy or any restrictions imposed by Jobee from time to time, and where the default is remediable, such User in default fails to remedy its breach within three (3) days upon receiving a warning letter from Jobee;
(ii)
a petition has been presented to wind up the User (if such User is a corporate entity) or for bankruptcy against the User (if such User is an individual);
(iii)
the measure to restrict, suspend or terminate is considered necessary and reasonable by Jobee in its sole discretion;
(iv)
situation stipulated under Clause 13 below occurs,

provided that the above measures shall not affect any other rights and remedies available to Jobee, or any obligations owed by such User to Jobee under the Terms and Conditions and the laws of Hong Kong or other jurisdictions, where applicable.

(b)
For the avoidance of doubt, upon termination of the User’s right of access to the Site and use the Services contemplated under Clause 2.4(a) above, Jobee may also, without notice, (i) determine the membership of the User permanently; (ii) remove or de-activate any information uploaded or posted by such User on the Site; (iii) demand immediate payment of the Service Fee and/or any other fees or costs incurred and owing to Jobee by such User together with any interest thereon; and (iv) make a public announcement of the termination of membership of such User on the Site.

3. Service Fees

3.1
A Job Seeker who successfully registers as a Member on the Site may use the Site and the Services at no charge. In consideration of the Services provided by Jobee, the Job Seeker agrees to be bound by the Terms and Conditions and all other restrictions imposed by Jobee from time to time when using the Site.
3.2
In consideration of the Services provided by Jobee, Advertiser shall pay the Service Fee to Jobee pursuant to the terms set out in the Service Fee and Payment Policy.
3.3
The Advertiser and the Employed Job Seeker (defined hereunder) shall report or communicate (in writing) immediately to Jobee upon completion of the First Working Day (defined hereunder) of the Employment (defined hereunder) by the Employed Job Seeker without delay (the “Report”). Upon receipt of the Report, Jobee will issue an invoice to the Advertiser pursuant to the terms set out in the Service Fee and Payment Policy.
3.4
If the Advertiser fails to make the Report to Jobee or provides any inaccurate information about the Employment for whatever reason including without limitation the avoidance of payment of the Service Fee to Jobee, Jobee shall have the right, without prejudice to its right stipulated under Clause 2.4 above, to demand immediate payment of HKD50,000 as compensation for each unreported Employment by such Advertiser.

4. Congratulating Gift(=Commitment Bonus)

If an Employed Job Seeker completes the first 30 days of his/her Employment with the Employing Advertiser or the Third Party Employer commencing from the First Working Day (inclusive of the First Working Day), or alternatively, if the term of the Employment is shorter than 30 days, he/she completes the agreed employment term (the “Completion of Term”), such Employed Job Seeker shall be entitled to a congratulating gift from Jobee (the “Gift”) in the form of cash (the amount of which may vary according to the policy of Jobee) provided that he/she makes a Report to Jobee within fourteen (14) days from the First Working Day (inclusive of the First Working Day) and a confirmation of the Completion of Term is made by Jobee with Employing Advertiser or the Third Party Employer (the “Confirmation”). The Gift will be payable by Jobee by e-cheque in favour of the Employed Job Seeker within two (2) months from the date when the Confirmation is made. An Employed Job Seeker failing to make the Report within the prescribed period will be considered to have waived his/her entitlement to the Gift even if he/she has completed the relevant term, and in such case Jobee shall not be liable to compensate such Employed Job Seeker for his/her loss.

5. Intellectual Property Rights

5.1
In consideration of the Services provided by Jobee, a User who uploads information on the Site agrees to grant to Jobee and/or its affiliate(s), at no cost, the right to use, amend, remove, publish, distribute, license or sub-license, sell and store such information, including all Intellectual Properties contained therein, for the purposes of providing Services to the Users and carrying out other business activities in relation thereto.
5.2
Jobee, either as an owner or licensee of the Intellectual Properties, shall have all rights in relation thereto, and any party obtaining information from the Site shall not, without prior consent from Jobee in writing, use, amend, remove, publish, distribute, license or sub-license, sell or store any such information in whatever manner.

6. Warranty and Disclaimer

6.1
The User fully understands Jobee’s role as a service provider of a communication medium between the Users and acknowledges and agrees that:
(a)
it uses the Site and the Services (or other websites which are provided on the Site) at its own risk, and shall be fully and absolutely responsible for its own activities and any loss, damages and/or liabilities arising therefrom;
(b)
it is solely and fully responsible for the accuracy, truthfulness and legality of any information uploaded on the Site, and further undertakes and represents to Jobee that all information provided or to be provided thereon are in compliance with the Terms and Conditions and the laws in Hong Kong or other relevant jurisdictions;
(c)
all information on the Site is for reference only and Jobee shall not be liable for any loss or damage arising from the inaccuracy, falsity, invalidity, illegality, unsuitability, incompleteness, untimeliness or unreliability of the information;
(d)
the submission of a job application by a Job Seeker, making of an employment offer by Advertiser and conclusion of an employment contract between Advertiser/Third Party Employer and Job Seeker through the Site are independent activities between Advertiser/Third Party Employer and Job Seeker. Jobee is not a party to any such relationship and shall not be deemed to have endorsed or recommended any such application or offer, or have offered any employment opportunity or entered into any contract with any such party because of these activities. Jobee shall not be bound by any terms and conditions therein, nor shall it be liable for any loss or damage suffered by any party due to such activities;
(e)
Jobee shall not be liable for any loss or damage arising from or in relation to, and suffered by the User or any third party as a result of the use of the Services, reliance on any information on the Site or failure to provide the Services to the User for whatever reason.
6.2
Further and without prejudice to other rights and remedies available to Jobee, the User undertakes to indemnify, and hold harmless Jobee and its affiliate(s), shareholders, directors, officers, employees, agents, representatives, attorneys, advisers and successors from and against all claims, actions, demands, liabilities, losses, damage, costs and expenses arising from or relating to its use of the Site and the Services, to the fullest extent permitted by the laws in Hong Kong or other relevant jurisdictions.
6.3
Jobee does not guarantee (i) the number of views to any information, advertisements or pages uploaded or created by the User on the Site; (ii) the type of Users who will be viewing such information, advertisements or pages; and (iii) any effect or outcome resulting therefrom.
6.4
Jobee will use reasonable endeavours to ensure, however without guarantee, that (i) the Site will be operated free of error and viruses; (ii) the operation of the Site will be uninterrupted, timely and secured; or (iii) any defects or problems will be corrected in a timely manner.

7. Limitation of Liability

Subject to the applicable laws, the User agrees that the aggregate liability of Jobee for all claims arising from or relating to its use of the Site and the Services, if any, shall be limited to the total amount of fees actually received by Jobee in relation to its services provided to such User.

8. Privacy

8.1
The provisions governing the collection and use of personal data through the Site are set out in the Privacy Policy which is incorporated into and forms part of the Terms and Conditions. All Users agree to be bound by and comply with the provisions therein when using the Site and the Services.
8.2
Any person who receives any personal data when operating and using the Site and/or the Services, including without limitation Advertiser(s), Jobee’s affiliate(s) and business partner(s), acknowledges and agrees that it shall strictly comply with the relevant provisions relating to the protection of privacy and personal data protection under the Terms and Conditions and the Privacy Policy at the same standard applicable to Jobee. Such person also undertakes to procure any persons under or related to it who receives any Personal Data, including without limitation its affiliates, directors, officers, employees, representatives or agents, to handle such Personal Data with the highest standard of confidentiality and security and not to use such Personal Data for purposes otherwise contained in this Privacy Policy.

9. Relationship of Jobee and the Users

Jobee shall not in any manner be considered an agent, joint venture, partner or employer of any User. No representation shall be made by any User which may establish any relationship of agency, joint venture, partnership or employment between Jobee or any party unless otherwise agreed by Jobee in writing. Jobee shall not be bound by any agreement, warranty or representation made by such User to any other party or shall it be liable for any loss or damage suffered by any party in relation thereto.

10. Variation of Terms

Jobee shall have the right to amend or delete any provisions of the Terms and Conditions from time to time at its sole discretion without prior notice. Notification will be given to all Users in whatever manner Jobee considers appropriate. After the notification is made, any continued use of the Site by the User will be deemed a consent and acceptance to all changes made to the Terms and Conditions, and the User shall be bound by the amended provisions therein.

11. Entire Agreement

The Terms and Conditions and all documents referred to herein, including without limitation the Privacy Policy and the Service Fee and Payment Policy shall constitute the entire agreement and understanding of the parties and shall supersede any previous agreement, undertaking, communications or discussions, whether oral or written, between the parties relating to the subject matters hereof.

12. Severability

If any provision herein is held to be illegal, invalid or unenforceable under any applicable law, the legality, validity and enforceability of the remaining provisions shall not in any way be affected or impaired.

13. Force Majeure

Jobee shall not be liable for non-performance or delay in performance occasioned by any causes beyond its reasonable control, including without limitation failure of computer, telecommunication or other equipment, strikes, labour disputes, insurrections, fires, explosions, sabotage, insurrections, acts of God, acts of government or civil or military authorities, war, orders of courts and non-performance or delay in performance of any third parties. If the force majeure continues for more than six (6) months, Jobee shall be entitled to exercise its right of termination stipulated under Clause 2.4 above.

14. Miscellaneous Terms

14.1
The failure of Jobee to exercise or enforce any right or provision of the Terms and Conditions will not constitute a waiver of such right.
14.2
If the Terms and Conditions are written in more than one languages, and if, in the course of performance, there is any dispute or discrepancy between the different language versions, the English version shall always prevail (the other version(s) is/are for reference only).

15. Governing Law and Jurisdiction

The Terms and Conditions shall be governed by and construed in accordance with the laws of Hong Kong and the parties agree to submit to the non-exclusive jurisdiction of the Hong Kong courts for hearing and/or settlement of all disputes arising out of or relating thereto.
